Official Contest Rules 

1. CONTEST PERIOD 

The Canada Takout Instagram Contest (the “Contest”) commences at 9:00:00a.m. Eastern Time (“ET”) on April 7th 2022 and ends at 11:59:59p.m. ET on April 15th 2022, (the “Contest Period”). This Contest is brought to you by Canada Takeout (the “Contest Sponsor”). 

2. ELIGIBILITY 

The Contest is open to legal residents of Canada who have reached the age of majority at the time of Contest entry in the Province or Territory in which they reside. 

Notwithstanding the above, this Contest is not open to employees of the Contest Sponsor or their respective divisions, subsidiaries, affiliates, advertising and promotional agencies, Contest suppliers and judges, members of their immediate families (parents, siblings, spouses) and those with whom they are domiciled. 

3. HOW TO ENTER 

NO PURCHASE NECESSARY. You will need an Instagram account (an “Account”) to participate. You will be required to Follow the @CanadaTakeout Instagram account (https://www.instagram.com/CanadaTakeout/) for your entries to be eligible to win a prize.

PRIZE ENTRY: The Contest Sponsor will post a contest image on their Instagram feed @CanadaTakeout on April 7^th 2022 and April 11^th 2022 during the Contest Period.

Login to your Account, and follow the entry instructions under the Contest Sponsor’s contest post. To enter the Contest: 1) Follow the sponsor. 2) Like the post. 3) Comment “We love Takeout Day!” There is a maximum of one entry per person per post for a total of two entries per person. Entries will only be accepted until 11:59:59pm ET on April 15^th 2022. Use of any robotic, automatic, programmed or similar entry method will void all entries and result in disqualification. 

4. PRIZES 

There are a total of twenty (20) prizes available to be won. The Contest Sponsor reserves the right to modify the prize(s) at any time, for any reason, at their sole discretion. 

Total value of all the prizes being given away is: $5350.00 CAD.

Prizes must be accepted as awarded and may not be sold, transferred or converted to cash and will not be refunded if unused. No substitutions or changes are permitted. Contest Sponsor reserves the right at its sole discretion to substitute the prize for one of equal or greater value. 

5. PRIZE DRAW

Twenty (20) potential winners will be randomly selected from all eligible entries received between April 7^th 2022 and April 15^th 2022,11:59pm ET by a representative of the Contest Sponsor on April 16^th 2022 at 11:00am ET at 799 College Street, Suite 305, Toronto, Ontario M6G 1C7.

Limit one (1) Prize per household.

We will attempt to contact the selected entrants by Instagram within one (1) business days of the draw date (“Initial Notification”), with further information on how to claim the Prize. If the selected entrant cannot be reached or fails to respond to Initial Notification, for whatever reason, within three (3) business days, another entrant may be randomly selected from the remaining eligible entries or the prize may be cancelled at Contest Sponsor’s sole discretion. 

Odds of being selected to win the Prize in this Contest will depend on the total number of eligible entries received during the Contest Entry Period. Before being declared a winner of a Prize, selected entrant must have correctly answered mathematical skill-testing question included in the questionnaire and complete, sign and return a Declaration and Release Form (and any other documents, as applicable) within three (3) business days of receiving the Declaration and Release Form (the “Prize Claim Date”). If a selected entrant cannot be reached within the timeframe specified above, is not in compliance with these Contest rules, incorrectly answers the skill-testing question, declines the prize, email correspondence between Contest Sponsor and selected entrant is returned as undeliverable without a forwarding address, or fails to return the Declaration and Release Forms (and any other documents, as applicable) by the Prize Claim Date, the prize may not be awarded and Contest Sponsor reserves the right to randomly select another entry from the remaining eligible entries at Contest Sponsor’s sole discretion. 

6. GENERAL 

All prizes must be accepted as offered and/or awarded and may not be transferred, exchanged or substituted, whether for cash or otherwise except as expressly provided in these Contest rules or at the Contest Sponsor’s sole discretion. The Contest Sponsor reserves the right to substitute a prize or portion thereof with one of at least equal value, including in the event of the unavailability, for whatever reason, of the advertised prizes. If, for any reason, more than the advertised number of prizes are claimed, there may be a random draw conducted amongst all eligible prize claimants, at Contest Sponsor’s sole discretion, to award the correct number of prizes after the Contest closing. 

In the event of any dispute regarding the interpretation of these Contest rules, the decision or interpretation of the Contest Sponsor shall prevail. 

All entries become the property of the Contest Sponsor. Any entry that is illegible, incomplete, altered, or contains false information, is invalid. Contest Sponsor is not responsible for lost, stolen, delayed, damaged or misdirected claims or entries or votes or for any problems or technical malfunction of any internet or telephone network or broadcast transmission during the Contest Period. The Contest Sponsor is not responsible for any errors or omissions with respect to the printing or advertising of this Contest and reserves the right to withdraw, amend or cancel this Contest in the event of a printing or administrative error. The Contest Sponsor in its sole discretion withdraw, amend, cancel, suspend, terminate or modify this Contest in any way, in whole or in part, without notice, for any reason including if it determines in its sole discretion that this Contest is no longer capable of running as intended, including due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other cause of any nature whatsoever. 

The Contest Sponsor accepts no responsibility for loss, damage or claims caused by the awarded prizes or the Contest itself. By entering, entrant releases and holds harmless Contest Sponsor, its affiliated and related companies and advertising, promotional agencies and all of their respective directors, officers, shareholders, employees, agents, successors and assigns (collectively, the “Contest Entities”) from any and all liability for any injuries, loss or damage of any kind arising from or in connection with the Contest or any prize won. Winner must comply with any applicable manufacturer warranty, terms and conditions and/or user guide for any prize won. 

Without limiting the release of liability provisions herein, and for greater certainty, the Contest Entities will not be liable for: a) any incorrect or inaccurate information, or by any equipment or programming associated with or utilized in the Contest or by any technical or human error which may occur in the processing of entries in the Contest; b) any error, omission, interruption, deletion, defect or delay in operation of the application, tablet or any transmission in connection with the Contest; c) any communications line failure, theft, destruction or unauthorized access to, or alteration of, entries; d) any problems with, or technical malfunction of, any telephone network or lines, computer on-line systems, servers or providers, computer equipment, software, or failure of email which may occur for any reason whatsoever, including technical problems or traffic congestion on the Internet or at any website or combination thereof; or e) any injury or damage to entrants’ or to any other person’s computer related to or resulting from participating or downloading materials in this Contest. 

In the event of a dispute as to who submitted an email entry, the entry will be deemed to have been submitted by the Authorized Account Holder of the email address submitted at the time of entry as determined by the Contest Sponsor. “Authorized Account Holder” is defined as the natural person who is assigned to an email address by an Internet access provider, on-line service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. Entrants may be required to provide the Contest Sponsor with proof that he/she is the Authorized Account Holder of the email address associated with such Entry. 

The Contest Sponsor reserves the right at its sole discretion to disqualify any individual from the Contest, and to ban that individual from participation in any future promotion of the Contest Sponsor, if the Contest Sponsor finds or believes such individual to be tampering with the entry process or the operation of the Contest or where applicable; to be acting in violation of the Contest rules or in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass the Contest Sponsor, the Contest Sponsor’s agencies, other entrants or any other person. ANY ATTEMPT BY AN ENTRANT OR ANY OTHER PERSON TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE CONTEST SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. The Contest Sponsor’s failure to enforce any term of these Official Contest Rules shall not constitute a waiver of that provision. 

By entering this Contest, you consent to the Contest Sponsor’s use, should you become a winner, of your name, place of residence and photograph or other likeness for publicity, advertising or informational purposes in any media or format (including the Internet) now or hereafter known throughout the world in perpetuity, without further compensation, notification, or permission, unless prohibited by law, in connection with this Contest or future similar contests. By entering, you declare that you have complied with the Contest rules. 

This Contest is subject to all applicable laws and shall be governed by and construed in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein. 

For Quebec residents, any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of a prize may be submitted to the Régie only for the purpose of helping the parties reach a settlement. 

The invalidity or unenforceability of any provision of these Contest rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Contest rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. 

The names, or Instagram handles of the winners will be announced on the @CanadaTakeout Instagram feed.
